Terms of Service

These Terms of Service govern the relationship between Hunkitu S.L. (hereinafter, Ama AI) and the customer (hereinafter, the Customer) that contracts the services described below. Their purpose is to complement, not replace, the commercial agreement or order signed between the parties.

1. Services

Ama AI provides an infrastructure layer for the Amazon catalog aimed at brands, aggregators and agencies. The service includes, on a non-exhaustive basis: schema mapping, data normalization, attribute validation, automated publishing across Amazon marketplaces, and the operation of integration flows with Amazon's official APIs.

The specific scope, covered marketplaces, SLAs and fees are detailed in the commercial agreement or order signed between the parties.

2. Acceptance

Contracting the service entails full acceptance of these Terms, as well as of the [Legal Notice](/legal-notice) and [Privacy Policy](/privacy-policy). If the Customer does not accept any of the terms, they must refrain from using the service.

3. Access and credentials

Ama AI may provide the Customer with access credentials to dashboards or technical environments. The Customer is responsible for keeping such credentials confidential and for all activity carried out under them, and must immediately report any unauthorized use.

Where the service requires operating with Customer credentials against Amazon APIs or other systems, the Customer grants Ama AI the necessary authorization to do so within the contracted scope and in accordance with Amazon's policies.

4. Customer obligations

  • Provide accurate, complete and up-to-date catalog data.
  • Warrant that they hold the rights over the texts, images and other content sent to Amazon through the service.
  • Comply with Amazon's policies and terms applicable to each marketplace.
  • Not use the service for unlawful, fraudulent or rights-infringing activities.
  • Pay the agreed fees within the agreed terms and conditions.

5. Intellectual property

The software, infrastructure, data pipelines, schema mappings, models and, in general, the technical assets used by Ama AI to deliver the service are and shall remain the property of Ama AI. The Customer retains ownership of its catalog data and editorial content.

References to Amazon and its distinctive signs are used for identification purposes; they are registered trademarks of Amazon.com, Inc. and its affiliates.

6. Confidentiality

The parties undertake to keep confidential any non-public information disclosed by the other party in the context of the service, during the term of the contract and the two (2) years following its termination.

7. Data protection

Where the service entails the processing of personal data on behalf of the Customer, Ama AI will act as data processor within the meaning of article 28 GDPR. The parties will sign the corresponding Data Processing Agreement (DPA) where applicable.

8. Limitation of liability

Ama AI will provide the service in accordance with reasonable industry standards and the agreed SLAs. However, save for wilful misconduct or gross negligence attributable to Ama AI, Ama AI's aggregate liability towards the Customer arising out of or in connection with this contract shall in no case exceed the amount actually paid by the Customer in the twelve (12) months preceding the event giving rise to liability.

In no event shall Ama AI be liable for indirect damages, loss of profit, loss of business opportunity or reputation, unless applicable law prevents such limitation.

9. Term and termination

The service term shall be as agreed in the contract or commercial order. Either party may terminate the contract for material breach by the other, upon written notice and a reasonable cure period.

10. Modifications

Ama AI may modify these Terms with reasonable prior notice to the Customer. If the Customer does not accept the modifications, they may terminate the contract without penalty.

11. Governing law and jurisdiction

These Terms are governed by Spanish law. In the event of any dispute, the parties expressly waive any other applicable jurisdiction and submit to the Courts and Tribunals of Donostia – San Sebastián, unless mandatory law requires a different forum.
